Editorial Content License Agreement

Pop Shutter Media Network, LLC, owner of Broadimage, Inc and operator of Broadimage services, including broadimage.com and upload.broadimage.com.

1. Parties & Scope

This Agreement governs the license of photographs, videos, captions, and related metadata (the “Content”) delivered by Broadimage to you (the “Licensee”) for editorial use only, unless otherwise stated in an Order or download page.

2. Grant of Rights

Subject to payment and compliance, Broadimage grants a non-exclusive, worldwide license to reproduce, display, distribute, and publish the Content for editorial news reporting, commentary, or cultural interest. Unless expressly authorized in writing, commercial/advertising, merchandising, and sensitive uses are prohibited.

4. Credit & Copyright

Unless impracticable, credit must appear adjacent to the Content or in credits pages as:
“<Photographer Name> / Broadimage” (e.g., “Jane Doe / Broadimage”).

Copyright in the Content remains with the photographer and/or Broadimage. All rights not expressly granted are reserved.

5. Delivery & Technical

Content may be delivered via broadimage.com, managed client FTP, or secure links. Derivative versions (cropping, sizing, color) are permitted for layout provided the editorial meaning is unchanged.

6. Fees, Reporting, & Taxes

Fees are as quoted at checkout, in a rate card, or in a written Order. You agree to customary audit/reporting of publication dates, print runs, and online placements upon reasonable request. Prices exclude taxes; Licensee is responsible for applicable taxes unless exempt.

7. Takedown & Clawback

Broadimage may request removal of specific Content (e.g., rights issues or legal claims). Upon written notice, you will remove the Content from future use and online archives where commercially reasonable.

8. Warranties & Disclaimers

Broadimage warrants it has rights to license the Content as stated. Except for the foregoing, the Content and services are provided “AS IS”. Broadimage disclaims all implied warranties to the maximum extent permitted by law.

9. Limitation of Liability

In no event will Broadimage or its contributors be liable for indirect, incidental, special, or consequential damages. Broadimage’s aggregate liability will not exceed the amounts you paid for the specific Content giving rise to the claim.

10. Indemnity

Licensee will indemnify and hold harmless Broadimage and contributors for claims arising from Licensee’s use that breaches this Agreement, violates law, or modifies context in a misleading manner.

11. Term & Termination

This license begins upon delivery and continues for the agreed term. Broadimage may terminate for breach after notice. Upon termination, you must cease new uses and remove online copies where commercially reasonable.

12. General

Entire agreement supersedes prior terms for the licensed Content. No assignment without consent (except to an affiliate or successor in a merger). If a term is unenforceable, the remainder remains effective.
